Arkansas Based First Security Bancorp to Acquire First National Bank
of Springdale from First Tennessee
Springdale, AR, October 8, 2003 – First Security Bancorp announced
today that it has entered into a definitive agreement with First Tennessee
National Corporation (NYSE:FTN) to acquire substantially all of the
assets of First Tennessee’s wholly owned subsidiary, First National
Bank of Springdale, Springdale, Arkansas. The proposed transaction
will combine $330 million in First National Bank assets with First
Security’s $1.5 billion in assets, subject to receipt of all
necessary approvals, to create Arkansas’ third largest state-based
bank holding company with assets in excess of $1.8 billion and 44 community
banking centers.
The sale includes four-branch offices and 9 ATMs in Springdale. With
the appropriate regulatory approvals, the transaction is expected to
close in December 2003.
The acquisition will increase First Security Bank’s presence
in Springdale, where it currently has a new state of the art banking
center on West Sunset, and will provide further convenience to it’s
growing Northwest Arkansas customer base. First Security will move
to the number one deposit market share position in Springdale and second
in the Fayetteville-Springdale-Rogers MSA, served through its new combined
network of 13 banking centers and 25 ATMs.
Following completion of the acquisition, First National Bank of Springdale
will become part of the First Security Bank of Northwest Arkansas,
a division of First Security Bank based in Searcy, Arkansas. Jerry
Reinert, currently President and Chief Executive Officer of First National
Bank of Springdale, will continue as Chief Executive Officer in Springdale.
Mike McFarland, currently President of First Security Bank in Springdale,
will continue to serve as President.
